Aaaack. I'm not sure that upgrading that system would be a good call. I mean tehnically, you can get a fairly quick Celeron/Opteron (? is this what they call the new cheap AMD processor now?) processor/mobo in your price range, but you're still going to have problems like case fitment and basic data bottlenecks like UDMA-33. Save some more and buy a new system.
EDIT: Found the word I was looking for, "bottleneck." Almost went crazy there.

Celerons-stay away...I had one, and people I know have em, and they're horrid cpu-horsepower wise.
You're lookin for Sempron, mate. Thats the new budget AMD chip and it comes in socket 462 (skt 'A') and in amd64 socket 754.
Skip the Sempron. Its the new Duron. And yes, skip Celeron. I have a Celeron D in my PVR system, but thats because it doesn't require much for a CPU (hardware decoder and encoder for TV using a Hauppauge PVR-250 card).
And on the AMD64 boards, the Semprons have no 64-bit ability (turned off in the chip...cant be turned on).
If anything, Look at getting an AthlonXP setup. You can get a 2500+ and board for aboout $120. Your next problem lies in video card and RAM. 256mb is like $47 or so these days (double it for 512, quadruple it for 1gb, etc). A decent video card (not necessarily the best for gaming, but likely better than what you have) will start around $60-70. The worthwhile stuff will start around $120 or so. And the good stuff will start around $300.
In the end, the best choice would be to save up for a new computer. Your current E-Machine probably doesn't have a usable powersupply for today's components and the powersupply and case are probably using AT form factor (today its ATX). So yeah, just save up for a new computer altogether.

Not everyone wants the fastest computer, for what he wants to do, a celeron will do fine.
quick Celeron
Ladies and Germs, the first time in the history of the world that these 2 words have been next to eachother,
Serriously though, I'm using a celeron right now and it's REALLY slow. Stay away from it.
I'm actually getting a pretty nice e-machine in a couple of weeks. It's a very good deal, but I don't know which model it is. I'll tell you later today when I go see it at (evil) Best Buy.

argh celerons! we have them at school in the computers, 2.4Ghz ones, they totally suck there not even fast enough for internet browsing because when you hit ''back'' it freezes for a split second.........cheap crap.....

The only other time when the words 'quick' and 'celeron' were put together was a few years back with the c366's. They used to overclock to nearly double their stock speed with peltiers and all that jazz with darn scary voltages for todays standards-up to around 2.6vcore.
Heres some historical ref. on a site im a member of.

If you are going to get a new mobo and cpu, I assume that you're also going to need a more powerful power supply, and if the system didn't even cost $200 new, it might be time to either buy a new one or build a new one.
You'll also kick yourself for years to come if you get a Celeron.
westoz - Don't forget the good old celeron 300A. Those puppies OC'd to 450mhz without any special mods or heatsinks. Just change the bus speed from 66 to 100 and you were good to go. I had 2 of them in an Abit BP6 mobo for dual processing goodness.
The new Celerons are okay. It was the ones that had no cache that sucked.
If anything, Look at getting an AthlonXP setup. You can get a 2500+ and board for aboout $120.
Fry's Electronics, $79.99, AthlonXP 2800+ board, chip & heatsink/fan :toocool:
, it might be time to either buy a new one or build a new one.
